Thank you for choosing Yoyosound (“we,” “us,” or “Yoyosound”).

These Terms of Service (also the “User Agreement” or “Terms of Use”) govern your access to and use of the Yoyosound website, mobile applications, APIs, and all related features (collectively, the “Service”), including but not limited to AI music generation, work management, membership subscriptions, credit purchases, export, and commercial licensing.

By registering an account, checking your agreement, or actually using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

Yoyosound is an AI music creation platform for creators, helping users generate music through text, style, and parameters, and providing membership benefits, credits, and export capabilities.

2. Eligibility and Accounts

2.1 Age Requirements

You must be at least 16 years old (or the higher age required by law in your region). If you are under 18, you should use the Service only with guardian consent and supervision.

2.2 Registration and Account Security

  • You must provide true, accurate, and complete registration information and keep it up to date.
  • Account credentials (password, verification codes, etc.) are for your use only and must not be transferred, lent, or shared.
  • You are responsible for all activity under your account. Notify us immediately if you discover unauthorized use.

2.3 Third-Party Sign-In

If we offer third-party sign-in (e.g., Google, Apple, WeChat), you must also comply with that third party’s terms. We are not responsible for the availability of third-party services or their data practices.

3. The Service

3.1 Nature of the Service

  • The Service relies on artificial intelligence and third-party models/infrastructure. Outputs are probabilistic and uncertain; the same prompt may produce different results.
  • We continuously improve quality but do not guarantee that outputs will be accurate, complete, flawless, or fit for any particular commercial purpose in all scenarios.
  • The Service may interrupt, change, or discontinue features due to maintenance, upgrades, force majeure, or third-party causes. We will try to notify you in advance.

3.2 Membership and Credits

  • Membership subscriptions (e.g., Monthly Pro, Annual Expert) provide periodic benefits as described on the purchase page.
  • Credits are virtual benefits used for creation, export, and other features. They are non-transferable and not redeemable for cash (except where required by law).
  • Prices, benefits, and validity are as shown before payment. We may adjust prices within the limits of applicable law; the effect on your already paid, unexpired portion is governed by the Refund Policy and purchase page.

3.3 Commercial Licensing

Paid membership or designated credit packs may include a commercial use license as described in the in-product “License” section.
Without explicit authorization, you may not use outputs for purposes prohibited under these Terms (see Section 5).

4. Your Content and Intellectual Property

4.1 Inputs and Outputs

  • Prompts, lyrics, parameters, uploaded materials, and similar items you submit are “Inputs.”
  • Audio, metadata, and similar results generated from Inputs are “Outputs.”
  • Inputs and Outputs together are “Content.”

4.2 Your Rights and Responsibilities

  • To the extent permitted by applicable law, you retain applicable rights in your Inputs and grant us a worldwide, non-exclusive, sublicensable license necessary to provide, improve, and secure the Service (including storage, processing, display, backup, and transmission).
  • To the extent permitted by applicable law and subject to your compliance with these Terms, you have the agreed scope of use in Outputs; we are not responsible for copyright disputes between you and third parties.
  • You must ensure that Inputs and your use of Outputs do not infringe any third party’s copyright, trademark, portrait, privacy, or other lawful rights.
  • Prohibited Inputs or Outputs include: unauthorized full reproductions, clearly imitative works identifiable to a specific artist, illegal, defamatory, pornographic, or violence-inciting content.

4.3 Similar Outputs

Because of AI characteristics, different users may receive similar outputs. We do not claim rights in other users’ outputs and are not liable for similarity between your outputs and those of third parties.

4.4 Our Intellectual Property

Software, interfaces, trademarks, documentation, and our model orchestration (excluding your Content) belong to us or our licensors. Without written permission, you may not copy, modify, reverse engineer, scrape, or bulk-export our systems or data.

5. Acceptable Use

You agree not to:

  1. Violate any applicable laws or regulations;
  2. Infringe others’ intellectual property or other lawful rights;
  3. Use the Service for fraud, money laundering, malware distribution, or interference with or attacks on our systems;
  4. Bypass access limits, rate limits, paywalls, or technical protections;
  5. Use automation to bulk-scrape data or outputs to train competing models or build substitute services;
  6. Misrepresent outputs as solely human-created without disclosing AI generation where required by law;
  7. Use the Service for automated decisions with significant legal or economic impact on individuals (e.g., credit, employment, medical diagnosis);
  8. Abuse reporting, appeals, or support channels.

We may warn, restrict features, suspend, or terminate your account based on reasonable judgment, without refunding benefits consumed due to violations (except where required by law).

6. Payment and Billing

  • Fees are displayed in CNY or other currencies indicated on the page and confirmed before payment.
  • We support Alipay and other channels as shown on the payment page.
  • Subscription products may auto-renew; you may cancel renewal in your payment channel or account settings. Benefits for the paid period usually remain until the period ends.
  • Invoices and tax matters are handled under applicable law and our published rules.

Payment, refunds, and disputes are detailed in the Refund Policy.

7. Disclaimer

To the maximum extent permitted by law:

  • The Service is provided on an “as is” and “as available” basis;
  • We are not liable for indirect, incidental, or punitive damages arising from service interruption, data loss, inaccurate outputs, or third-party causes;
  • We are liable for disputes, takedowns, or claims arising from your use of outputs only to the extent mandatory under applicable law.

These Terms do not exclude statutory consumer rights that cannot be waived by agreement.

8. Limitation of Liability

For claims arising from these Terms or the Service, our total liability is capped at the greater of (unless mandatory law provides otherwise):

  • Fees you actually paid for the relevant Service in the 12 months before the claim event; or
  • CNY 100.

9. Termination

9.1 Termination by You

You may stop using the Service at any time and request account deletion in the product (when available) or contact support.

9.2 Termination by Us

We may suspend or terminate the Service if you materially violate these Terms, pose a security risk, or as required by law, and retain records as permitted by law.

9.3 Effect of Termination

After termination, your access to your account and unexported content may end. We will handle your data within a reasonable period according to the Privacy Policy.

10. Dispute Resolution and Governing Law

  • These Terms are governed by the laws of the People’s Republic of China (excluding conflict-of-law rules), unless otherwise required by law.
  • Disputes arising from these Terms should first be resolved through good-faith negotiation; if negotiation fails, they shall be submitted to the people’s court with jurisdiction at our principal place of operation.
  • If you are a consumer, you may also have mandatory jurisdiction and remedies under the law of your place of residence.

11. Changes to These Terms

We may update these Terms. Material changes will be announced on the website or in the app in advance. If you continue using the Service after changes take effect, you accept the new Terms; if you do not agree, stop using the Service.
